1. Acceptance of Terms
By accessing or using Cognileads, you agree to be bound by these Terms of Service. If you do not agree, do not use the service.
2. Description of Service
Cognileads provides an AI-powered outbound sales platform including ICP targeting, multi-channel campaign management, AI reply handling, and automated appointment booking. We reserve the right to modify or discontinue features with reasonable notice.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. Accounts are granted to a single legal entity; sharing access across unrelated organizations is prohibited.
4. Acceptable Use
You agree not to use Cognileads for any unlawful purpose or in violation of any applicable laws or regulations. You may not use the service to send spam, engage in deceptive marketing, or target protected categories in a discriminatory manner. You represent that your prospect lists comply with applicable anti-spam laws including CAN-SPAM, CASL, and GDPR.
5. AI-Generated Content
Cognileads uses artificial intelligence to generate campaign copy, email replies, and other content. While we strive for accuracy and relevance, AI-generated content may contain errors or inaccuracies. You are solely responsible for reviewing and approving all AI-generated content before sending. We disclaim all liability arising from the use of AI-generated content.
6. Fees & Billing
Paid plans are billed in advance on a monthly or annual basis as selected during checkout. All fees are non-refundable except as required by applicable law. We may change our pricing with 30 days' notice. Late payments may result in suspension of service.
7. Intellectual Property
As between you and Cognileads, you retain all rights to your data and content. Cognileads owns the platform, software, branding, and any improvements or derivative works. You grant us a license to host, process, and display your data solely to provide the service.
8. Limitation of Liability
To the maximum extent permitted by law, Cognileads shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service. Our total liability for any claim shall not exceed the amount you have paid us in the 12 months preceding the claim.
9. Termination
Either party may terminate this agreement at any time. Upon termination, your access to the service will be revoked. We will retain your data for 30 days after termination unless you request earlier deletion. We may terminate immediately if you breach these terms.
10. Governing Law
These terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes shall be resolved in the courts of New Castle County, Delaware.
11. Changes to Terms
We may update these terms from time to time. We will notify you of material changes via email or in-product notice. Continued use after changes take effect constitutes acceptance of the new terms.
